Legal Responsibility of Companies as Issuers for Stock Value Decline Due to Lack of Information Disclosure Principle

In the context of trading on the Indonesia Stock Exchange, legal protection
regulations play a crucial role, as these protections are rights granted to investors
given the numerous risks involved in stock trading, which can affect stock offerings.
When investors sell off company shares in large numbers, the stock value may decline.
Each investment instuments in the capital market, are no exception. Rational investors
aim for investments that offer maximum returns with certain risks or specific returns
with minimal risks, based on individual preferences.
This thesis employs a normative juridical research method, based on legal
norms with a literature study approach. The research is descriptive in nature, and
qualitative data analysis methods are applied.
The study findings indicate that companies, as issuers, can be held accountable
through civil, criminal, and administrative liability. In cases where misinformation is
provided, liability for manipulation may arise under Article 78, paragraph 1 of the or
omit necessary material facts to prevent misleading investors.
