General Meeting of Shareholders (GMS) drawn up by a Notary is declared unenforceable by the Panel of Judges since the contents are deemed to violate the provisions of laws and regulations. The problems of this research are why one of
the shareholders of PT. Pantai Perupuk Indah filed a lawsuit to cancel the minutes of meeting that have been certified by the Notary, how about the legal consequences for the cancellation of the Notary's deed by the court, and how
about the Notary's liability for the minutes of the meeting that are declared null and void by law in the Supreme Court Verdict Number 773 PK/Pdu/2019. The purpose of this research is to examine and find out the reasons for a lawsuit from one of the shareholders of PT. Pantai Perupuk Indah for canceling the minutes of meetings that are legalized by a Notary, to find out the legal consequences of
canceling the minutes of meetings that were legalized by a Notary by the court.and to find out the Notary's liability for the minutes of meetings that were declared null and void by law in the Supreme Court Verdict Number 773 PK/Pdu2019. This descriptive analysis research employs normative juridical research. Data are collected using library research in the form of document studies. Data are analyzed using qualitative analysis method and conclusions are drawn by using deductive thinking methods. The reason why one of the shareholders filed a lawsuit for canceling the minutes of the meeting is due to the material and immaterial losses suffered by one of the shareholders as a result of the publication of the minutes of the meeting. The legal consequences of canceling minutes of meetings by the court are indicated by the changes in the status and strength of the evidence of minutes of meetings from an authentic deed to become a private deed. The notary's liability for the minutes of meetings that are declared null and void by the court includes civil, criminal, and administrative liability. This research suggests that every deed drawn up by a Notary must meet the material and formal requirements. Judges must make wise and fair decisions In handling every cuse, especially those related to notarial deeds. Notaries must be ready and responsible for every deed they have drawn up, both in the civil, criminal, and administrative aspects. | en_US |
